EGM ballot – updated 21/12/14

Update 21/12/14:

The Trust’s ballot is now closed and we thank all members who responded. The results are as follows:

Yes 57 (89%)
No 6 (9.5%)
Abstain 1 (1.5%)

The club’s Extraordinary General Meeting on the ground move is this coming Sunday, 11am in the clubhouse at the New Windmill Ground. Everyone is welcome for the first part of the meeting, shareholders and non-shareholders alike. For further details see the Leamington FC website here: LINK.

The Brakes Trust holds 275 shares in Leamington FC Limited and is therefore entitled to attend and vote at their general meetings. How the Trust votes on any resolutions is defined by our members. Therefore a ballot has been issued to all currently signed-up members, in advance of Sunday’s meeting. Members with confirmed email addresses received their ballots yesterday evening (Sunday 14 December) and others should receive their ballots by post tomorrow (Tuesday 16 December). It is important that all members use their right to vote on this issue, and we thank you in advance for doing this. It’s an important vote and we want the input from every single member.

I haven’t received a ballot?
1. Please check your spam folder. If it’s in there then please add info@brakestrust.com to your contacts so that future communications don’t end up there too.
2. You might have an email address which we couldn’t verify. Generally, if you’ve read one of our last three newsletters then we have taken your email address as current. If not – we’ve sent the ballot by post just to be on the safe side.
3. If you still haven’t received anything by Wednesday 17 December then please email us and we’ll take your vote that way.

Amendments
In the ballot we have asked for permission to vote accordingly in the event of an amendment to the resolution. At time of issuing the ballot, the Trust was in receipt of the text for one draft amendment. However this amendment was not final nor issued to the club. We also note that there may well be amendments or other changes ‘on the day’ which we are not aware of yet. Hence the simplest and cleanest approach was to ballot our members on a mandate for the Trust board to vote as they see fit at the meeting itself. This is question 2 on our ballot.

Voting process
If you have any issues at all with the voting process then please either email info@brakestrust.com.

Proxy votes
If you are a shareholder in Leamington FC Limited but cannot attend the EGM then you are able to proxy your vote to another party. If you support the Brakes Trust, you can proxy your vote to the Trust by entering Brakes Trust on the proxy form which came with your EGM Notice, and sending back to the club. Once you have done this, please drop us an email to let us know. Again we will stress that the way the Trust votes will be based on the democratic input from our members.
